Terms of Use
Terms governing STRACT.us and Pulse by STRACT. Signed enterprise agreements govern where applicable.
1. Scope and defined terms
By accessing or using the Services, creating an account or accepting these Terms, you agree to these Terms and the applicable Acceptable Use Policy. If you do not agree, do not use the Services. Review the Privacy Policy for information about processing personal information.
STRACT, Inc. (“STRACT,” “we,” “us”) operates the public STRACT.us website and provides Pulse by STRACT (“Pulse” or the “Platform”). Signal.AI™ (“Signal”) refers to our assistive intelligence features. The website, Platform, related portals and associated services are collectively the “Services.”
A “Customer” is an organization that contracts for Services. An “Authorized User” is a person permitted to access specified Services for an organization. “Customer Data” is information submitted to or processed through the Services by or for a Customer, including authorized candidate, supplier, requirement and engagement information. These definitions do not diminish the rights of individuals or third-party rights in that information.
Public website content is informational. Authenticated Platform use requires authorized access and is subject to the applicable service agreement, permissions and enabled capabilities. Public illustrations use fictional records; demonstrations and descriptions do not guarantee feature availability or grant access.
2. Enterprise agreements take precedence
An applicable signed Master Services Agreement, Order Form, Statement of Work, Data Processing Addendum, Security Exhibit, Service Level Agreement, private-instance or white-label addendum, or other signed agreement prevails over these public Terms to the extent of a direct conflict. Any precedence order in those agreements controls.
Public policies are not a substitute for negotiated processing instructions, security commitments, service levels or deployment-specific arrangements. An evaluation request does not automatically create a trial, subscription or right of access.
3. Authority, accounts and access
Anyone acting for an organization must have appropriate authority to act for it and, when entering an agreement, to bind it. An invitation, job title or organization selection does not itself grant administrative rights or access to another workspace.
Provide accurate account information, protect credentials, use only your assigned access, and promptly report suspected compromise. Do not share credentials, impersonate another user or bypass permissions. Organizations are responsible for authorizing appropriate users, reviewing their access and notifying STRACT when access should change.
You are responsible for activity you authorize under your account, subject to applicable law and controlling agreements. Pulse permissions depend on role, organization membership and assigned scope; users must not attempt to access data outside that scope.
4. Customer, supplier and submission responsibilities
Customers and their Authorized Users are responsible for lawful instructions, accurate business records, appropriate notices and permissions, and reviewing decisions. Suppliers are responsible for accurate company, compliance and personnel information and for the submissions they are authorized to make.
Upload resumes, candidate evidence, interview information, compliance documents and engagement records only with appropriate authority and a lawful basis. Maintain accurate information and respect confidentiality, intellectual-property rights and applicable employment, privacy and anti-discrimination requirements.
Candidates and engagement personnel should supply accurate information and raise corrections through the relevant organization or STRACT. STRACT does not guarantee placement, employment, candidate qualifications, compensation or a particular business outcome.
5. Customer Data ownership and processing rights
Customers retain their rights in Customer Data, subject to the rights of individuals and other rights holders. They grant STRACT only the rights reasonably necessary to host, process, transmit, secure, support and provide the contracted Services in accordance with lawful instructions and applicable agreements.
This limited permission is not an unrestricted transfer of ownership or permission to use confidential Customer Data for unrelated purposes. Privacy, processing, retention and deletion are further addressed in the Privacy Policy, Data Processing & Security Overview and applicable customer agreements.
6. Platform intellectual property
As between the parties, STRACT and its licensors retain rights in Pulse, Signal, software, workflows, interfaces, documentation, models, analytics architecture, trademarks and other Platform intellectual property. Access grants only the use rights expressly provided in the applicable agreement.
Do not reproduce, reverse engineer, resell, sublicense or exploit the Services beyond authorized use. Third-party names and logos belong to their owners; references do not imply endorsement. Rights that cannot lawfully be restricted remain unaffected.
7. Signal and human review
Signal and other intelligence features assist Authorized Users by organizing, analyzing, summarizing and surfacing information. They do not replace independent human review or make employment, engagement, compensation, termination or other consequential decisions on behalf of users.
Outputs may be incomplete, inaccurate, outdated or affected by the underlying records. Review evidence, verify material facts and apply independent judgment. A score, ranking, recommendation or summary must not be the sole basis for a consequential decision or be used to facilitate unlawful discrimination.
Availability and permitted AI processing depend on the applicable workflow and agreement. Do not send confidential or personal information to unauthorized AI services or try to defeat safeguards.
8. Integrations, subscriptions and fees
Third-party integrations and providers may be subject to separate terms, permissions and availability. Authorize integrations only for data you may lawfully share. STRACT does not control third-party services and does not guarantee their continuing availability.
Subscriptions, fees, payment schedules, taxes, renewals, evaluations and cancellation rights, where applicable, are specified in the relevant Order Form or agreement. Public content does not create pricing, refund or service-level commitments.
9. Acceptable use, suspension and termination
Follow the Acceptable Use Policy. STRACT may investigate suspected violations and restrict or suspend access when reasonably necessary to protect customers, users, data or the Services, subject to applicable law and controlling agreements.
Termination rights and notice requirements for contracted Services are governed by the applicable agreement. On termination, access may end and export, return, retention or deletion of data will be handled under that agreement and applicable law. Deleting a visible record does not necessarily erase associated audit history or retained copies immediately.
10. Disclaimers
To the extent permitted by law and except as expressly provided in a controlling signed agreement, public content and Services are provided “as is” and “as available.” STRACT disclaims implied warranties of merchantability, fitness for a particular purpose and non-infringement.
We do not guarantee uninterrupted or error-free operation, absolute security, the accuracy of every output or a particular hiring or delivery outcome. Non-waivable statutory rights and express negotiated commitments remain unaffected.
11. Liability and indemnification
To the extent permitted by law and subject to controlling signed agreements, STRACT is not liable for indirect, incidental, special, consequential or punitive damages arising from use of the Services. Any negotiated liability cap, exclusions and exceptions are governed by the applicable agreement. Nothing excludes liability that cannot lawfully be excluded.
To the extent permitted by law and subject to a controlling agreement, a Customer or user is responsible for third-party claims arising from its unlawful use, infringing submissions or material violation of these Terms. Any indemnity, defense procedure and allocation of responsibility must be read with the applicable signed agreement and non-waivable law.
12. Governing law and disputes
Unless a controlling signed agreement or mandatory law provides otherwise, these Terms are governed by Georgia, United States law, without regard to conflict-of-law principles. Disputes shall be resolved in the applicable state or federal courts in Fulton County, Georgia.
Contact STRACT to seek a good-faith resolution. These public Terms do not independently impose mandatory arbitration or waive rights that cannot lawfully be waived.
13. Changes, versions and contact
Each policy identifies its version and dates. Material changes, notice requirements and any required renewed acceptance will be handled under applicable agreements and law. A historical acceptance is evidence of the version recorded at that time, not automatic acceptance of a later revision.
For legal questions, contact legal@stract.us or use the STRACT contact form. For privacy requests or security concerns, contact privacy@stract.us. Do not include passwords, credentials or sensitive candidate documents in an initial inquiry.
